Please read these Terms of Service carefully before using Waypoint Analytics. By accessing or using our platform, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Waypoint Analytics ("Waypoint Analytics," "we," "us," or "our"), governing your access to and use of the Waypoint Analytics platform available at waypoint-analytics.ai (the "Service").

By creating an account, joining the waitlist, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Service.

If you are accessing the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Waypoint Analytics is an AI-powered analytics platform designed for direct-to-consumer (DTC) brands. The Service connects to your Shopify, Meta Ads, Google Ads, and Google Analytics 4 (GA4) accounts to:

• Deliver daily Morning Briefings
• Analyze advertising spend and profitability
• Generate automated weekly reports
• Respond to natural language questions through Ask Waypoint
• Identify anomalies such as rising CAC, inventory risks, and underperforming campaigns

The Service is currently in a pre-launch phase (launching Spring 2026). Features described on our website represent our planned functionality and may be modified prior to or following general availability.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract to use the Service. The Service is intended for business use and is not directed at consumers for personal use.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at admin@waypoint.analytics.ai if you suspect any unauthorized use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information when registering and to keep your account information updated.

4. Subscription Plans and Billing

4.2 Free Trial

All plans include a 14-day free trial. No credit card is required to begin. At the end of the trial period, you must provide payment information to continue using the Service.

4.3 Billing and Renewal

Subscriptions are billed monthly on the anniversary of your subscription start date. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not offer prorated refunds for partial months.

4.5 Price Changes

We reserve the right to change pricing with at least 30 days' advance notice sent to your registered email address. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Third-Party Integrations and Data Access

The Service requires you to connect third-party accounts including Shopify, Meta, Google Ads, and GA4. By connecting these accounts, you:

• Grant Waypoint Analytics read access to the data within those accounts solely for the purpose of providing the Service
• Represent that you have the right and authority to grant such access
• Acknowledge that your use of those platforms remains subject to their respective terms and privacy policies

You may revoke our access at any time through the respective platform's settings.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws
• Infringe any third-party intellectual property rights
• Transmit malicious code
• Gain unauthorized access to the Service or connected systems
• Scrape or systematically extract data without written permission
• Reverse engineer any portion of the Service
• Build a substantially similar competing product
• Resell or sublicense the Service without authorization

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all software, algorithms, interfaces, text, graphics, logos, and AI models, is owned by Waypoint Analytics and protected by applicable intellectual property laws. These Terms grant you only a limited license to use the Service as described herein.

7.2 Your Data

You retain ownership of all data you input into the Service or retrieved from your connected accounts. By using the Service, you grant us a limited, non-exclusive license to process your data solely to provide and improve the Service.

7.3 Feedback

If you submit feedback or suggestions, you grant us a perpetual, royalty-free license to use such feedback without any obligation to compensate you.

8. AI-Generated Recommendations

AI-generated insights and recommendations are provided for informational purposes only and do not constitute financial, legal, or professional advice. All business decisions remain your sole responsibility. AI outputs may contain errors or inaccuracies and should be independently verified before acting upon them. Waypoint Analytics is not liable for any business decisions made in reliance on Service outputs.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WAYPOINT ANALYTICS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAYPOINT ANALYTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Waypoint Analytics and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your data, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your account at any time, with or without cause, with notice where practicable. You may terminate your account by contacting admin@waypoint.analytics.ai. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will do so.

12. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the state in which Waypoint Analytics is incorporated. Disputes shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
